Objective

The objective of the Hestia Blinds Affiliate Program is to extend our reach and share our products with a wider audience through collaborations with our valued affiliates. In return, our affiliates earn competitive commission fees for every successful referral.

Definitions

• "Affiliate" refers to an individual or entity that has been approved by Hestiablinds to participate in the Affiliate Program.
• "Commission" are the earnings an Affiliate receives for successful referrals.
• "Referral" is a sale of Hestia Blinds products made through the Affiliate's unique referral link.

Program Enrollment

Eligibility and Application—Joining the Hestia Blinds Affiliate Program is complimentary and open to anyone passionate about interior design and window treatments. To become an affiliate, applicants must complete the following steps:

• Submit an Application: Fill out the application form on the Hestiablinds website. Provide accurate and up-to-date information to ensure a smooth approval process.
• Approval Process: Our team will review your application to ensure it aligns with our brand values and program goals. Approval is based on the content quality, audience engagement, and relevance to our target market.
• Acceptance: Once approved, you'll receive a welcome email with your unique affiliate link and access to marketing materials to kickstart your promotional efforts.

• Active engagement with your audience.

Commission Fees and Payments

Commission Structure: Affiliates earn a 5% commission on sales made through their unique referral links. A sale is attributed to an affiliate if it occurs within 30 days of the customer clicking the referral link, thanks to our 30-day cookie tracking period.

Earning Commissions

• Cookie Duration: A 30-day cookie duration means that commissions can be earned on sales made within 30 days of the initial referral click.
• Payment Threshold: Commissions are paid out once an affiliate has reached a minimum earnings threshold of $50.
• Tracking and Reporting: Affiliates have access to a dashboard for real-time tracking of clicks, conversions, and earnings.

Payment Schedule and Method

• Payments are made monthly for the previous month's earned commissions.
• Payment Methods: Affiliates can choose to receive payments via bank transfer or PayPal.

Obligations of the Parties

Responsibilities of Hestia Blinds

• Provide affiliates with a wide range of promotional materials, including banners, text links, and product images.
• Offer timely and accurate tracking of sales and commissions.
• Make monthly commission payments according to the schedule outlined in the Commission Fees and Payments section.
• Offer support to affiliates through the Affiliate Program Team, available at affiliate@hestiablinds.com.

Duties and Responsibilities of the Affiliate

• Promote Hestia Blinds products in a manner that is ethical and aligns with the brand's values.
• Ensure that all promotional efforts are compliant with laws and regulations applicable to online marketing and advertising.
• Maintain the accuracy and appropriateness of content that includes Hestiablinds promotional materials.
• Notify Hestia Blinds of any significant changes to the affiliate's promotional platforms that could affect their participation in the program.

Compliance with Laws and Regulations

Both Hestia Blinds and affiliates are required to comply with all applicable laws and regulations, including but not limited to advertising standards, privacy laws, and intellectual property rights laws.

Use of Marketing Materials

Proper Use of Trademarks and Promotional Materials

• Affiliates may use the Hestiablinds trademarks and promotional materials provided through the affiliate program for the purpose of promoting Hestiablinds products.
• Affiliates must ensure that the use of these materials does not mislead customers or misrepresent Hestia Blinds products and services.

Guidelines for Creating Custom Materials.

• Affiliates wishing to create their own promotional materials must obtain prior written approval from Hestia Blinds to ensure consistency with the brand's image and messaging.
• Custom materials must be submitted to the Affiliate Program Team at affiliate@hestiablinds.com for review and approval before use.

Restrictions on the Use of the Hestia Blinds Name and Logo

• The Hestia Blinds name and logo may not be altered or used in a way that suggests direct endorsement or ownership of affiliate content.
• Affiliates must not register domain names or social media profiles that include the Hestia Blinds name or trademarks without prior approval.

By outlining clear expectations and guidelines in these sections, we aim to foster a productive and mutually beneficial relationship between Hestiablinds and its affiliates.

Prohibited Activities

Affiliates are expected to conduct their promotional activities in a manner that upholds the integrity and reputation of Hestia Blinds. The following activities are strictly prohibited:

• Misrepresentation: Affiliates must not mislead customers about Hestiablinds products or services. All claims must be accurate and substantiated.
• Unsolicited Communications: Sending unsolicited emails (spam) or engaging in any form of spamming activity is prohibited. Affiliates must comply with all

applicable laws related to electronic communications.

• Infringing Content: Creating or distributing content that infringes on the intellectual property rights of others, including Hestiablinds, is not allowed.
• Harmful Activities: Engaging in activities that could harm the Hestia Blinds brand, such as promoting Hestia Blinds products on websites that contain or promote illegal activities, hate speech, pornography, or violence.

Violations of these prohibitions may result in immediate termination from the Affiliate Program and forfeiture of any earned commissions.

Confidentiality

• During the term of their participation in the Affiliate Program, affiliates may receive or have access to confidential information related to Hestiablinds' business operations, product details, and marketing strategies. Affiliates agree to:
• Not disclose any confidential information to third parties without the prior written consent of Hestia Blinds.
• Use confidential information solely for the purpose of fulfilling their obligations under the Affiliate Program.
• Protect confidential information with at least the same degree of care used to protect their own confidential information, but no less than a reasonable degree of care.

Term and Termination

Term

This agreement commences upon the affiliate's acceptance into the Affiliate Program and continues until terminated by either party.

Termination

Either Hestia Blinds or the affiliate may terminate this agreement at any time, with or without cause, by providing the other party with at least thirty (30) days written notice. Notice for affiliates should be sent to affiliate@hestiablinds.com.

Effects of Termination

Upon termination, the affiliate must cease all promotional activities related to Hestia Blinds and remove all promotional materials from their platforms. Any outstanding commissions earned up to the date of termination will be paid during the next scheduled payment cycle, subject to the terms outlined in the Commission Fees and Payments section.

These sections aim to ensure a transparent and trustworthy partnership between Hestia Blinds and its affiliates, emphasizing responsible conduct, the importance of confidentiality, and clear terms for the initiation and conclusion of the agreement.

Intellectual Property

Ownership

All intellectual property rights in the promotional materials, Hestia Blinds trademarks, logos, and any other materials provided by Hestia Blinds through the Affiliate Program are and shall remain the property of Hestia Blinds. Affiliates are granted a non-exclusive, non-transferable, revocable license to use such materials solely for the purpose of promoting Hestia Blinds products in accordance with these Terms and Conditions.

License Termination

This license terminates upon the expiration or termination of this Affiliate Agreement or the Affiliate's participation in the Affiliate Program.

Indemnification

Affiliates agree to indemnify, defend, and hold harmless Hestia Blinds and its officers, directors, employees, agents, affiliates, successors, and assigns from any and all claims, liabilities, damages, costs, and expenses, including reasonable attorneys' fees, arising out of or in connection with the Affiliate's participation in the Affiliate Program, violation of any laws, or breach of these Terms and Conditions.

Limitation of Liability

Hestia Blinds will not be liable for indirect, special, or consequential damages, or any loss of revenue, profits, or data, arising in connection with this Agreement or the Affiliate Program, even if Hestia Blinds has been advised of the possibility of such damages. Further, Hestia Blinds' aggregate liability arising with respect to this Agreement and the Affiliate Program will not exceed the total commissions paid or payable to the Affiliate under this Agreement.

Miscellaneous

Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of the United States and the state in which Hestia Blinds is headquartered, without regard to the conflicts of laws principles thereof.

Assignment and Severability

The Affiliate may not assign this Agreement, by operation of law or otherwise, without Hestia Blinds’ prior written consent. If any provision of this Agreement is held to be invalid or unenforceable, that provision shall be eliminated or limited to the minimum extent necessary so that the remainder of this Agreement shall remain in full force and effect and enforceable.

Entire Agreement and Modification

This Agreement represents the entire agreement between the parties with respect to the Affiliate Program and supersedes all prior agreements and communications. Hestia Blinds reserves the right to modify any of the terms and conditions contained in this Agreement, at any time and in its sole discretion, by posting a change notice or a new agreement on the Hestia Blinds website.
